1. About Checkboard Limited

These Terms and Conditions (“Terms”) govern the use of services (“Services”) provided by Checkboard Limited (“Checkboard”), a limited company incorporated under the laws of the United Kingdom, with company number 12243866, and its principal place of business at 313 Mirror Works 12 Marshgate Lane, London, England, E15 2NH.
Checkboard is a technology platform that streamlines identity verification and background checks, helping individuals and businesses securely share and assess key information. We work with a range of trusted third-party partners, including Credit Reference Agencies and data providers, to deliver services that support regulatory compliance, risk assessment, and informed decision-making. Our platform is designed to enhance transparency, security, and efficiency in onboarding and verification processes.
Checkboard is authorised and regulated by the Financial Conduct Authority (FCA) with Firm Reference Number 950508. Checkboard is authorised by the FCA to provide the following regulated services:
- Insurance –
- Advising on investments (except on Pension Transfers and Pension Opt Outs)
- Arranging (bringing about) deals in investments
- Making arrangements with a view to transactions in investments
- Consumer credit –
- Credit Broking
- Debt-counselling
- Providing Credit Information Services
We will promptly advise you if at any time our authorisations are suspended or removed.
These Terms are a binding legal agreement between Checkboard and you, whether personally or on behalf of an entity (“you” or “User” or “Client”), governing your access to and use of the Services.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
2. Definitions & Interpretation
Definitions
“User” refers to any individual who accesses or interacts with the Services provided by Checkboard, whether directly or on behalf of a Client (such as a business or organisation). This includes, but is not limited to:
- Individuals whose identity, personal information, or documents are submitted for verification.
- Any person who is the subject of a KYC, AML, or identity verification process conducted through Checkboard’s Services.
By using the Services, Users agree to the collection, processing, and use of their information as outlined in these Terms and Checkboard’s Privacy Policy.
“Client” refers to any business, organisation, or other legal entity, as well as any employee, contractor or authorised representative of that business, organisation or legal entity, that enters into an agreement with Checkboard Limited to access and use its Services. A Client may use the Services to verify the identity of individuals, perform regulatory compliance flows (such as KYC and AML), manage onboarding workflows, and otherwise utilise Checkboard’s platform, tools, and APIs for lawful business purposes. The Client is responsible for ensuring that any Users acting on its behalf comply with these Terms and all applicable laws and regulations.
“Services” refers to the financial technology solutions provided by Checkboard Limited and the platform through which they are provided – being the Checkboard website, app, or other such means. These Services may include, but are not limited to, identity verification, customer due diligence, anti-money laundering (AML) screening, know your customer (KYC) compliance tools, payment processing, onboarding automation, and related compliance and risk management services. These Services are designed to support Clients and Users in verifying customer identities, meeting regulatory obligations, and securely managing financial transactions and data through Checkboard’s proprietary platform, APIs, and associated tools.
“Account” refers to the registered profile created by or on behalf of a Client or User within the Checkboard platform, which enables access to and use of the Services. An Account may include business information, authorised Users, verification history, API credentials, and settings related to the Client or User’s use of the Services. The Account is used to manage access, initiate flows, view results, configure integrations, and monitor usage. The Client or User is responsible for maintaining the confidentiality and security of the Account and for all activities conducted through it.
Interpretation
The headings used in these Terms are for reference only and do not affect their interpretation.
Unless stated otherwise:
- Words in the singular include the plural, and vice versa.
- Any reference to one gender includes all genders.
- References to a “person” include individuals, companies, partnerships, and other legal entities.
- The words “including”, “includes”, or similar terms are not limiting and should be interpreted as “without limitation”.
Checkboard is not liable for any delay or failure to perform our obligations under these Terms where such delay or failure is due to circumstances beyond our reasonable control.
Nothing in these Terms is intended to, or shall, confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999, unless explicitly stated.
Each provision of these Terms is severable. If any provision (or part of it) is found to be invalid, illegal, or unenforceable by a court or competent authority, that provision shall be modified only to the extent necessary to make it valid, or if this is not possible, it shall be deleted – without affecting the validity and enforceability of the remaining provisions.
Any delay or failure by Checkboard to enforce any part of these Terms does not constitute a waiver of our rights.
You may not transfer or assign any of your rights or obligations under these Terms without our prior written consent.
These Terms, along with our Privacy Policy and Cookie Policy, form the entire agreement between you and Checkboard in relation to your use of our Services, except where a separate written commercial agreement or Service Level Agreement (SLA) applies. In such cases, that agreement will govern your use of the Services to the extent of any inconsistency with these Terms. Except in the case of fraud or where expressly stated otherwise, all prior agreements, representations, and understandings between you and Checkboard are superseded by these Terms.
You agree that we may deliver any notices or communications to you by email or by posting them on our website or through the Services. These communications will be considered received by you 24 hours after they are sent or posted.
3. Changes to Terms
Checkboard may update these Terms, as well as make changes to our website, mobile applications, or the Services, at any time. Where changes to the Terms or Services are material and may affect your rights or obligations, we will notify you in advance by reasonable means – such as by email, through a notice on our website or app, or via the Services themselves.
Your continued use of the Services after such changes take effect will indicate your acceptance of the revised Terms.
For updates that do not materially affect your rights or obligations – such as clarifications or administrative updates – we may choose not to notify you directly. We recommend that you review this page periodically to stay informed of any changes.
4. Licence and Access Rights
By using Checkboard’s Services, you grant us a worldwide, non-exclusive, royalty-free licence to use any information, data, documents, materials, or other content (“Content”) that you submit to us – whether directly through our website, app, or indirectly via third parties on your behalf (including, for example, your credit information or identity documents).
This licence allows us to use, store, reproduce, modify, display, distribute, and create derivative works from the Content as necessary to:
- Deliver and improve the Services.
- Comply with applicable legal or regulatory obligations.
- Fulfil the purposes described in these Terms and in our Privacy Policy.
By submitting or providing access to such Content, you confirm that you have the full right and authority to do so, and that the rightful owner of the Content has granted permission for it to be used by Checkboard as set out above – without time limits or the expectation of payment.
5. Accuracy and Non-Reliance on Information
While Checkboard aims to ensure that the information displayed as part of its Services is accurate and up to date, we do not guarantee the accuracy, completeness, or reliability of any information provided.
If you believe that any information displayed during use of our Services is incorrect, please contact us as soon as possible using the details provided in this document.
For Users, if you believe there is an error in your Credit Report, you are encouraged to contact the relevant Credit Reference Agency directly to request correction or clarification.
Checkboard is not responsible for any delays, inaccuracies, omissions, or failures in the delivery, storage, or receipt of any user information, communications, or personalised content within our Services. You acknowledge that any reliance on information obtained through use of the Services is at your own risk.
6. Acceptable Use Policy
Checkboard and its Services may only be used for and within the scope of the Services set out under these Terms.
Users, must not under any circumstances, use our Services for business or commercial purposes, or attempt to access our Services on behalf of someone else. Any individual wishing to use Checkboard’s Services must register and verify their own account.
You are solely responsible for ensuring your use of Checkboard does not violate any applicable law, regulation or third party rights.
Checkboard reserves the right to refuse access to services or to suspend or terminate existing access at our sole discretion. This may include (but is not limited to) situations where:
- We have reason to believe that you are in breach of this Acceptable Use Policy or these Terms (e.g., using the service on behalf of someone else or for commercial purposes).
- You engage in abusive, threatening, or inappropriate behaviour towards our team.
- We discontinue a particular service or feature you are using.
- We suspect that your use of the Services is unlawful or otherwise inappropriate.
- Your identity cannot be successfully verified through our onboarding process.
7. Support and Maintenance
Checkboard strives to ensure continuous access to the Services but does not guarantee uninterrupted availability. Checkboard may modify, suspend, or discontinue any part of the Services for operational, security or legal reasons, with reasonable notice where practicable.
Checkboard will use commercially reasonable efforts to notify Users and Clients in advance of any planned maintenance which may be necessary to allow for the ongoing provision of the Services. In the event of unplanned downtime, Checkboard will use commercially reasonable efforts to restore the Services as soon as possible.
Checkboard aims to meet the following SLAs during business hours:
- First Response Time: 2 hours
- Resolution Standard Issues: 1 day
- Resolution Complex Issues: 5 days
If resolution is not achieved within 5 days, the issue will be escalated and prioritised by the team. The resolution timeframe will be extended as appropriate, and Users and Clients will be informed.
8. Privacy and Data Protection
Personal Information, Privacy Policy and Cookie Policy
Please review Checkboard’s Privacy Policy and Cookie Policy to understand how we handle your personal information. By accessing or using the Services, you confirm that you consent to our data practices as described in the Privacy Policy, and the processing of your personal information and use of cookies as described in our Cookie Policy.
The personal information Checkboard collects will be shared with fraud prevention agencies who will use it to prevent fraud and money-laundering and to verify your identity. If fraud is detected, you could be refused certain services, finance, or employment. Further details on how your information will be used by us and these fraud prevention agencies, and your data protection rights, can be found here: http://www.cifas.org.uk/fpn.
For further details about how your information may be used by Checkboard and our third-party service providers, including Credit Reference Agencies and other data partners, refer to our Privacy Policy.
Data Roles
For the purposes of the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, Checkboard acts as Data Controller when processing personal data of Users directly, and as a Data Processor when processing data on behalf of Clients. All parties agree to comply with their respective data protection obligations.
Checkboard may engage with trusted third party service providers (sub-processors) to assist in delivery of the Services. We remain responsible for ensuring equivalent contractual and security safeguards are in place.
Reports and Data Storage
We may store reports and outputs generated through our Services for up to six years if an account is inactive. For active accounts, Checkboard will hold User data until the User requests that this information be erased, or until we are required by law to remove the data.
Users and Clients are solely responsible for:
- Downloading or backing up reports or data for their own records.
- Complying with applicable regulatory or record-keeping obligations regarding data storage.
Checkboard does not guarantee permanent availability of reports unless expressly agreed in writing.
9. Confidentiality
Users, Clients and Checkboard agree to keep confidential all non-public information shared in connection with the Services, including technical, commercial, or strategic data.
All parties agree to:
- Use the other’s confidential information only for the purpose of delivering or receiving the Services.
- Take reasonable steps to protect such information from unauthorised disclosure.
- Disclose such information only to employees, affiliates, or advisors who need to know it and are under similar confidentiality obligations.
Confidentiality obligations do not apply to information that:
- Is already public or becomes public other than by breach of this clause.
- Was lawfully known to the receiving party before disclosure.
- Is independently developed without reference to the disclosed information.
- Must be disclosed by law or regulation, provided the disclosing party is notified (where lawful).
10. Information Security and Breach Notification
Security Incidents
In the event of a personal data breach which is likely to result in risk to individuals’ rights or freedoms, Checkboard will notify affected Clients and Users as soon as possible and, where required, the Information Commissioner’s Office (ICO). This notification will include details of the breach, likely consequences and remedial steps taken.
Information Security Standards
Checkboard maintains an information security management system certified to ISO 27001, the international standard for information security. This certification demonstrates our commitment to safeguarding personal data, preventing unauthorised access, and ensuring the confidentiality, integrity, and availability of information processed through our Services.
11. User Specific Terms
Services Offered to Users
Our platform enables Users to submit and share personal information – such as identity documents, address history, and financial data, for the purposes of verification, screening, and compliance flows. We may work with third-party service providers, including Credit Reference Agencies and other data partners, to carry out these flows. Further details about how your information will be used by these agencies, and your data protection rights, can be found in the following notices:
The Services are intended for personal use and are provided subject to these Terms and our Acceptable Use Policy.
Our Services may include:
- Identity and document verification
- Credit and financial checks
- Fraud prevention and compliance screening
- Open Banking data services
- Property and Land Registry information retrieval
- Digital document signing and execution
- Payment processing and financial transactions
- Communications with Clients and Users (e.g. email, SMS, notifications)
- Legal protection and insurance services
While the Services can support Users with identity verification, meeting regulatory obligations, and securely managing financial transactions, Users:
- Remain responsible for meeting any legal and regulatory obligations applicable to them.
- Must not rely solely on our Services for making personal or financial decisions.
- Should ensure any report produced through Checkboard is aligned with other information available to the User and applicable regulations.
Checkboard does not control your credit score or credit report and is unable to amend this information on your behalf. If you believe there is an error in your credit report, you should contact the relevant Credit Reference Agency directly.
Note: We do not provide legal or regulatory advice and recommend consulting financial or legal counsel before making decisions based solely on our Services.
Access to the Services
Eligibility
Users must be at least 18 years of age, or the legal age of majority in their jurisdiction, to register for and access the Services.
Account Registration
To use the Services, Users must create an account and complete the registration process. Registration may require the submission of personal information, identity documents, proof of address, or other verification data as requested. Checkboard reserves the right to refuse registration or suspend access if the information provided is incomplete, inaccurate, or fraudulent.
User Responsibilities
Users must:
- Provide accurate, current, and complete information during registration and ensure this information remains up to date.
- Take reasonable steps to keep their login credentials and devices secure, use strong passwords, and not share access to their accounts.
- Notify Checkboard immediately if they suspect their account or data has been compromised. Users are responsible for all activity on their accounts until Checkboard is notified of any suspected compromise.
- Acknowledge that, while Checkboard implements industry-standard security measures, no system is entirely free from risk.
- Use the Services in accordance with our Acceptable Use Policy.
Users must not:
- Misuse the Services, including by:
- Providing false or misleading information.
- Attempting to interfere with, disrupt, or bypass security or verification measures.
- Using the Services for unlawful purposes, including money laundering, fraud, or other illegal activities.
Checkboard responsibilities
Checkboard will:
- Deliver the Services with reasonable care and skill.
- Make commercially reasonable efforts to ensure that any reports or other outputs generated by Checkboard as part of the Services are materially accurate and complete.
- Ensure that the platform, Services, and related deliverables do not knowingly infringe any third party’s intellectual property rights.
Any information made available to you through Checkboard’s Services can only be as accurate, complete, and current as the data provided to us by you, by Credit Reference Agencies, our Cybercheck Partners, or any other third-party data providers we work with.
We do not independently verify or audit the accuracy, completeness, or timeliness of this information and do not take responsibility for the accuracy, completeness or timeliness of information provided by our third-party data providers.
Termination and Suspension
Checkboard reserves the right to suspend or terminate a User’s account if there is a suspected breach of these Terms, if fraudulent or suspicious activity is detected, or if the Services are misused.
Users may close their account at any time, subject to settling any outstanding obligations.
On termination or closure of an Account, Checkboard will retain or delete data in accordance with our Privacy Policy and legal obligations. Terms related to confidentiality, intellectual property, indemnity, limitation of liability and governing law will survive termination.
User rights
Rights and effects of withdrawal
Users have the right to withdraw from, abort or cancel any flow they have commenced with Checkboard, up until the point where the User’s report has been generated (and, if relevant, where this report has been shared with the Client). Users may exercise their right to withdraw, abort or cancel a flow via the Checkboard App.
If a User exercises their right to withdraw, Checkboard will perform a “soft delete” of any information provided through the partially completed flow. This means the User will no longer receive reminders to complete the process in the Checkboard App (and, if relevant, the requesting Client will not receive the User report).
Right to erasure
In accordance with the UK GDPR and the Data Protection Act 2018, Users have the right to request the deletion of their personal data held by Checkboard.
On receipt of such a request, Checkboard will remove all personally identifiable information from its systems and records, unless retention is required by law (for example, to comply with anti-fraud, anti-money laundering, or other regulatory obligations).

Right to terminate
Users can terminate their account and stop using the Service at any time by directly contacting Checkboard at the contact details provided in this document.
User Fees and Payment Terms
User payments (as a payment facilitator)
When Users make payments through the platform to a Client, Checkboard acts solely as a payment facilitator in transmitting funds from the User to the Client. Checkboard does not determine the amount charged and is not responsible for the services provided by the Client. The Client remains solely responsible for the accuracy of charges, compliance with applicable laws, delivery of services, and for handling any cancellations, refunds, or disputes. Users acknowledge that such matters are governed by the Client’s own terms.
User purchases
Where Users purchase Services directly from Checkboard, the applicable fees will be displayed at the point of purchase and are due immediately. Fees may be exclusive of VAT or other applicable taxes. Any cancellation, refund, or adjustment rights are governed by applicable law and any product-specific terms or policies provided at the time of purchase.
Fee adjustments
Checkboard may update User pricing from time to time. Updated fees will be displayed at the point of each transaction.
12. Client-Specific Terms
Client Fees and Payment Terms
Client pricing, invoicing and payment
Pricing and payment terms for Clients may be agreed in a separate commercial agreement or, for online sign-ups, displayed at the point of registration. Invoices are issued on the first working day of each month for the previous month’s usage and sent by email to the billing contact provided. Payment is due upon receipt and may be made using any of the payment methods made available by Checkboard. Invoices may include minimum spend commitments where agreed. Clients are responsible for ensuring timely settlement of all invoices in full.
Fee adjustments
For Clients under a fixed-term agreement, Checkboard may update fees at renewal by providing at least sixty (60) days’ prior notice. For Clients without a fixed-term agreement, Checkboard may update fees at any time with reasonable prior notice (normally at least thirty (30) days). This includes adjustments related to optional add-ons or third-party pass-through costs.
Minimum spend commitments
Where a minimum spend applies, it is calculated for each monthly Billing Period and does not carry forward to subsequent months. The Client will be invoiced for at least the agreed minimum spend each Billing Period, regardless of actual usage. Any usage above that threshold will be billed at the contracted rates.
Disputed charges
Any disputes regarding an invoice or charge must be raised within thirty (30) days of issue. If no dispute is raised within this period, the charge will be deemed accepted. All invoices, including any disputed amounts, must be paid in full upon receipt. Checkboard will review any dispute in good faith, and if an adjustment or credit is warranted, it will be applied to the Client’s next invoice.
Chargebacks and reversals
Clients are responsible for any chargebacks, reversals, or payment disputes raised by their end-customers and must provide evidence within five (5) business days of request. Checkboard may offset related costs or fees against any amounts payable to the Client.
Late payments
If any undisputed amount remains unpaid thirty (30) days after the invoice date, Checkboard may restrict access to the Services until payment is received, apply interest at four percent (4%) per annum above Bank of England’s base rate, and recover reasonable costs of collection, including legal fees. All payments must be made in full, without set-off, deduction, or counterclaim.
Where a valid payment method is held on file for the Client, Checkboard may charge that card or payment method for any overdue undisputed amounts.
Checkboard may withhold delivery of reports, results, or outputs generated through the Services until outstanding undisputed amounts are settled. Any payments received will be applied first to the oldest outstanding invoices, interest, or charges due, at Checkboard’s discretion.
If three or more payments are made late within any rolling twelve (12) month period, Checkboard may require the Client to move to a prepayment or deposit arrangement as a condition of continued access to the Services. Continued non-payment or failure to maintain required prepayments will constitute a material breach and may result in termination of the Client’s access to the Services.
Any overdue undisputed amount constitutes a recoverable debt, and Checkboard may refer the matter to third-party collections. The Client will be responsible for reasonable enforcement and recovery costs, including legal fees and any chargeback or reversal fees incurred.
Interest accrues daily and compounds monthly until payment is received in full. Checkboard may apply any available credits or other sums owed to the Client against any overdue or outstanding balances.
Credits and cancellations
All refunds are issued as account credits, unless otherwise required by law or expressly agreed in writing. Credits are applied according to our credit policy and will not roll over to future billing periods. If there is no subsequent invoice because the account has been closed or suspended, any remaining credits will lapse unless a cash refund is required by law. Credits are applied net of VAT where applicable. The detailed process for credits and cancellations is set out in Checkboard’s Credit & Cancellation Policy, which can be found in your commercial agreement with Checkboard and forms part of these Terms.
Invoice delivery and payment allocation
Invoices and notices sent by email to the billing contact on record are deemed received twenty-four (24) hours after transmission. Checkboard may apply any payments received from the Client to outstanding invoices, interest, or charges in such order as Checkboard considers appropriate.
Payment methods
We accept payment by bank transfer, card, direct debit, or other methods made available. Bank details or payment instructions are provided on each invoice or at the point of transaction.
Currency and taxes
Unless otherwise stated, all fees are payable in GBP and exclusive of VAT or other applicable taxes. Clients are responsible for any taxes, duties, or similar charges imposed by local authorities outside the UK.
Retention and suspension of usage rights
Usage rights are granted upon delivery of the Services but remain conditional on timely payment. Checkboard may suspend or revoke access in the event of non-payment, payment reversal, or breach of these Terms.
Pilot offers
Checkboard may offer pilot access to its Services under specific terms. Details of any pilot will be confirmed separately by a Checkboard representative, including:
- Pilot duration
- Fees applicable during the pilot
- Included features
There is no obligation to continue using the Services after a pilot ends. If you choose to proceed, pricing and other terms will be agreed at that time.
13. Intellectual Property
All intellectual property rights connected to Checkboard – including copyrights, trademarks, patents, and design rights – belong exclusively to Checkboard or its licensors. These rights are protected under applicable laws and international treaties.
Using Checkboard’s Services does not give Users or Clients any rights to our intellectual property, other than what is necessary to use the Services in line with these Terms. Users must not copy, modify, distribute, sell, reverse engineer, or create derivative works from any part of Checkboard without our prior written permission.
By uploading or submitting your Content to Checkboard, Users confirm they hold the necessary rights to do so. Checkboard does not claim ownership of User Content, but we may remove or disable access to any Content if we receive notice that it infringes intellectual property rights.
Third-party trademarks, product names, or logos that appear in connection with Checkboard remain the property of their respective owners. All rights not expressly granted in these Terms are reserved by Checkboard and its licensors.
14. Indemnity
Users and Clients agree to indemnify, defend and hold harmless Checkboard, its officers, employees and affiliates from any losses, damages, costs or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or violation of applicable law.15. Limitations of Liability and Disclaimer of Warranties
Limitations of Liability
To the fullest extent permitted by law, Checkboard and its affiliates, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunities arising out of or in connection with the use of the Services, even if advised of the possibility of such damages.
Nothing in these Terms shall exclude or limit liability for:
- death or personal injury caused by negligence,
- fraud or fraudulent misrepresentation, or
- any other liability that cannot be excluded or limited under applicable law.
If Checkboard is found to be liable for any damages, its total aggregate liability to any User shall not exceed the total fees paid by that User to Checkboard in the twelve (12) months preceding the event giving rise to the claim, or the duration of the Agreement if shorter.
Checkboard will only be liable for losses that are reasonably foreseeable and result directly from a material breach of its obligations under these Terms.
Disclaimer of Warranties
While Checkboard aims to provide reliable and high-quality Services, all Services and outputs are provided on an “as is” and “as available” basis. Checkboard does not guarantee that the Services will be error-free, uninterrupted, or always available.
To the fullest extent permitted by law, Checkboard excludes all warranties, representations, and conditions, whether express or implied, including but not limited to implied warranties of satisfactory quality, fitness for a particular purpose, or non-infringement.
Checkboard and its third-party partners (including Credit Reference Agencies and Cybercheck Partners) do not control and therefore do not accept responsibility for the accuracy, completeness, or reliability of the information they provide. While we make reasonable efforts to ensure that our content and data are current and accurate, we make no guarantee as to their timeliness or accuracy.
16. Insurance
Checkboard maintains appropriate levels of Professional Indemnity Insurance and other relevant business insurances to cover liabilities arising from the provision of our Services. Details of our current cover can be made available upon reasonable request.17. Governing Law and Dispute Resolution
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or formation are governed by and construed in accordance with the laws of England and Wales.
All parties to these Terms agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
Parties agree to first attempt in good faith to resolve any dispute through negotiation or mediation before commencing court proceedings.

Complaints Handling
